1. Introduction

Legal

These Terms of Service (“Terms”) govern your access to and use of the ManualQ website, dashboard, and related services (collectively, the “Service”). The Service is provided by ManualQ Inc. (or your legal entity name) (ManualQ, “we”, “us”, or “our”).

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Important

This document is a high-quality starter template for a Canadian/BC-based SaaS. Before public launch, you should review and tailor it (pricing, refunds, data retention, and any regulated industries) with qualified legal counsel.

Clear terms

2. Definitions

Legal
  • “Customer” means the organization or individual that creates an account and subscribes to a plan.
  • “Organization” means a team/workspace associated with an account (e.g., a company, clinic, restaurant).
  • “User” means any person who accesses the Service, including admins, staff, and invited learners.
  • “Admin” means a User with administrative privileges in an Organization.
  • “Customer Content” means documents, text, files (including PDFs), and any materials uploaded or provided to the Service.
  • “AI Output” means generated questions, quizzes, summaries, or other results created by the Service using AI.
  • “Plan” means your subscription tier (e.g., Free, Starter, Pro) and associated limits/features.

Who can use ManualQ

3. Eligibility and Authority

Legal

You must be legally capable of entering into a binding contract to use the Service. If you are using the Service on behalf of an Organization, you represent and warrant that you have the authority to bind that Organization to these Terms.

If you are an Admin, you are responsible for configuring permissions, inviting Users, and controlling access to Organization data.

What we provide

4. The Service

Legal

ManualQ provides tools to generate and manage quizzes from documents using AI. Features may include document upload/library, page selection, quiz generation, editing, publishing, attempts, and reporting.

AI is assistive

AI Output may be inaccurate, incomplete, or biased. You are responsible for reviewing and validating quizzes before use.

Service evolves

We may add, remove, or modify features to improve performance, security, and user experience.

Your responsibilities

5. Accounts, Security, and Admin Controls

Legal

You are responsible for maintaining the confidentiality of login credentials and for all activities under your account. You must notify us promptly if you suspect unauthorized access.

Admins can manage Organization settings and Users, including adding/removing Users, changing roles, and accessing content and reports. You agree that Admin actions may affect your access and data.

Your documents stay yours

6. Customer Content, Ownership, and License

Legal

You retain ownership of Customer Content. By uploading or providing Customer Content, you grant ManualQ a limited, worldwide, non-exclusive license to host, store, process, and use Customer Content solely to operate, maintain, secure, and improve the Service, including generating AI Output at your request.

You represent and warrant that you have all rights and permissions needed to upload and use Customer Content in the Service (including internal policies, manuals, and third-party materials).

Confidential content

Do not upload highly sensitive data unless you intentionally need it for training and you have authorization (e.g., secrets, credentials, or regulated personal health information). If you enable any “security mode” or “no-retention” option, its behavior will be described in your plan settings and documentation.

Accuracy and responsibility

7. AI Output and Human Review

Legal

AI Output is generated based on Customer Content and model behavior. You understand that AI Output may contain errors. You are responsible for reviewing and validating AI Output before publishing or using it for training, compliance, hiring, safety, or other business decisions.

The Service is not a substitute for professional advice. Do not rely on AI Output as legal, medical, financial, or safety advice.

Keep it safe

8. Acceptable Use

Legal

You agree not to misuse the Service. For example, you will not:

  • Use the Service for illegal, harmful, or fraudulent purposes.
  • Upload content you do not have the rights to use.
  • Attempt to reverse engineer, disrupt, or bypass security or access controls.
  • Use automation to scrape, overload, or probe the Service without permission.
  • Transmit malware, abusive content, or content that violates privacy or confidentiality obligations.

Paid features

9. Plans, Billing, Trials, and Taxes

Legal

Some features require a paid Plan. Plan limits (e.g., character limits, regeneration limits, seats) are enforced by the Service and may differ by tier.

  • Billing cycle: Your subscription renews automatically unless cancelled.
  • Trials: If you start a trial, you may be charged at the end of the trial unless you cancel before it ends.
  • Taxes: Prices may exclude applicable taxes (e.g., GST/HST/PST), which may be added at checkout where required.

How to stop

10. Cancellation and Refunds

Legal

You can cancel your subscription at any time through your account settings or by contacting us at support@manualq.com. Cancellation typically takes effect at the end of the current billing period unless otherwise stated.

Refunds (if any) are governed by the refund policy displayed at purchase or in your Plan terms. We may offer prorated refunds, credits, or no refunds depending on the product, billing type, and circumstances.

Consumer rights

If you purchase as an individual consumer, additional cancellation rights may apply under applicable consumer protection laws. If you are purchasing on behalf of a business, business-to-business terms generally apply.

Canada / BC privacy

11. Privacy and Data Protection

Legal

We collect, use, and disclose personal information in accordance with our Privacy Policy and applicable privacy laws. Depending on your circumstances, Canadian federal and/or provincial privacy laws may apply.

  • We use reasonable safeguards appropriate to the sensitivity of information.
  • We retain personal information only as long as necessary for identified purposes, unless a longer retention period is required or permitted by law.
  • You may have rights to access or request correction of personal information, subject to applicable law and exceptions.

If you are an Organization, you are responsible for ensuring you have appropriate authority and notices/consents to provide personal information to the Service (e.g., employee names/emails), and for your internal privacy practices.

Operations

12. Security, Availability, and Support

Legal

We work to keep the Service available, secure, and reliable. However, the Service may occasionally be interrupted for maintenance, updates, or events outside our control.

We may provide support through email or in-app channels. Support response times, if stated, are targets and not guarantees.

Vendors and integrations

13. Third-Party Services

Legal

The Service may integrate with third-party services (e.g., hosting, storage, analytics, or AI providers). Your use of third-party services may be subject to their terms and privacy policies.

We are not responsible for third-party services, their availability, or their acts/omissions.

What we own

14. Our Intellectual Property and Feedback

Legal

The Service, including its software, design, branding, and underlying technology, is owned by ManualQand its licensors. Except for the license you grant us to use Customer Content, we do not grant you any rights in our intellectual property.

If you provide suggestions or feedback, you grant us the right to use it without restriction or compensation.

Early access

15. Beta Features

Legal

Some features may be labeled “beta”, “preview”, or “early access.” Beta features may change, be removed, or be less reliable. To the extent permitted by law, beta features are provided “as is” and “as available.”

No warranties

16. Disclaimers

Legal

To the maximum extent permitted by applicable law, the Service and AI Output are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that AI Output will be accurate or complete.

Risk allocation

17. Limitation of Liability

Legal

To the maximum extent permitted by applicable law, ManualQ will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or business interruption arising out of or related to your use of the Service or AI Output.

To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the amount you paid to ManualQ for the Service in the three (3) months before the event giving rise to the claim, or CAD $100 if you did not pay for the Service.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

If something goes wrong

18. Indemnity

Legal

You agree to indemnify and hold harmless ManualQ and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your Customer Content or your use of AI Output;
  • Your violation of these Terms or applicable law;
  • Your infringement of any rights of any third party.

Product emails

19. Communications

Legal

We may send you service-related communications (e.g., security notices, billing messages, account changes). Where required, marketing messages will include an unsubscribe mechanism.

If you are an Organization Admin, you are responsible for ensuring your invitations and communications to Users comply with applicable law and internal policies.

Enforcement

20. Suspension and Termination

Legal

We may suspend or terminate your access to the Service if we reasonably believe you violated these Terms, pose a security risk, or your use could harm other users, the Service, or us.

Upon termination, your right to use the Service ends. We may delete or anonymize Customer Content and account data consistent with our retention practices and applicable law.

Updates over time

21. Changes to These Terms

Legal

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, via the Service or email). Your continued use of the Service after changes become effective means you accept the updated Terms.

British Columbia

22. Governing Law and Venue

Legal

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of laws principles.

You agree that any dispute arising out of or related to these Terms or the Service will be brought exclusively in the courts located in Vancouver, British Columbia, and you submit to their jurisdiction.
