Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ManualQ website, dashboard, and AI-powered services (collectively, the “Service”). The Service is provided by defineyou. (“we”, “us”, or “our”).

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

• “Customer” means the organization or individual that creates an account.
• “User” means any person accessing the Service (admins, staff, learners).
• “Customer Content” means manuals, PDFs, and text uploaded to the Service.
• “AI Output” means quizzes and summaries generated by the Service.
• “Plan” means your subscription tier (Free, Starter, Pro).

You must be legally capable of entering into a binding contract. If using on behalf of an Organization, you warrant that you have the authority to bind that Organization to these Terms.

ManualQ provides tools to generate quizzes from documents using Artificial Intelligence.

You are responsible for maintaining the confidentiality of your login credentials. Admins are responsible for the actions of their Users within the Organization.

You retain ownership of Customer Content. By uploading content, you grant ManualQ a license to process it solely to provide the Service (e.g., to generate your quizzes).

You warrant that you have all rights to the content you upload. Do not upload manuals that violate third-party copyrights.

AI Output is generated based on your content. You acknowledge that AI is probabilistic and may produce errors. The Service is not a substitute for professional advice. Do not rely on AI Output for critical safety advice without verification.

You agree not to:

• Use the Service for illegal purposes.
• Upload malware or abusive content.
• Reverse engineer or scrape the Service.
• Share account credentials with multiple people to avoid fees.

Billing: Subscriptions renew automatically via Stripe unless cancelled.

Trials: If you start a 7-day trial, you will be charged automatically at the end of the trial unless you cancel beforehand.

Taxes: Prices exclude applicable taxes (GST/HST/PST), which may be added at checkout.

You can cancel anytime via Settings. Cancellation takes effect at the end of the current billing cycle. Payments are generally non-refundable except where required by law.

We handle data in accordance with our Privacy Policy. If you use the Service to process personal data of others, you are responsible for obtaining necessary consents.

We strive for high availability but do not guarantee 100% uptime. The Service may be interrupted for maintenance.

The Service may use third-party providers (e.g., Stripe, OpenAI). We are not responsible for their acts or omissions.

The ManualQ software and brand are owned by ManualQ. You do not gain rights to our code or branding.

Features marked as "Beta" are provided "as is" and may be unstable. We are not liable for issues arising from Beta features.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ManualQ SHALL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE LAST 3 MONTHS OR CAD $100.

You agree to indemnify and hold harmless ManualQ from any claims arising out of your Customer Content, your use of AI Output, or your violation of these Terms.

We may send service emails (invoices, security). You agree to receive these as part of the Service.

We may terminate your access if you violate these Terms. Upon termination, your right to use the Service ends immediately.

We may update these Terms. Continued use after updates constitutes acceptance.

These Terms are governed by the laws of British Columbia, Canada. Any disputes shall be resolved in the courts of Vancouver, BC.
